Position Summary
The General Counsel (GC) provides legal leadership, advice, and strategic guidance. The GC represents all entities associated with CarePoint and is a strategic advisor to the executive leadership team and board of directors. The GC will ensure legal compliance, advise on regulatory matters and employment issues, support corporate governance, and mitigate legal risks. This position assures adherence to healthcare laws and is a subject matter expert on the regulatory framework in the healthcare sector.
Qualifications
- J.D. degree from an ABA-accredited law school.
- Full, unrestricted licensure is in good standing at the Colorado State Bar.
- Minimum of 10 years of legal experience and a focus on healthcare law.
- Prior experience as a general counsel or deputy general counsel is desired.
- Executive leadership and management experience.

- Demonstrated experience prioritizing conflicting demands from multiple internal business clients in an extremely fast-paced environment. Prior experience providing legal support to a sales team is highly preferred
- Expert knowledge of healthcare regulations, compliance frameworks, and industry-specific legal issues, especially those impacting clinician services.
- Strong work ethic, superior organizational skills, and the ability to handle multiple tasks in a fast-paced environment under time constraints.
- Works well with others and can work independently.

Essential Duties & Responsibilities
Contract Management:
- Draft, review, and oversee the negotiation and execution of favorable and risk-mitigated contracts, including physician services agreements (PSAs) employment agreements, and vendor contracts.
- Develop contract templates and efficient policies and processes to delegate these responsibilities to the executive and legal teams.
Legal Advisory:
Serve as the principal legal advisor and strategic partner to the executive leadership team and Board of Directors, contributing to institutional decision-making and policy development.
- Provide counsel to the executive leadership team on all legal matters affecting the organization, including contract law, employment law, healthcare regulations, and corporate governance.
- Lead and manage the Office of General Counsel, including outside legal counsel engagement.
- Judicious use of outside legal counsel.
Compliance and Regulatory Oversight:
Develop, implement, and oversee a comprehensive compliance program to ensure adherence to federal, state, and local regulations, as well as internal policies.
- Ensure the organization’s full compliance with healthcare laws and regulations (e.g., HIPAA, Stark Law, Anti-Kickback Statute) and advise on emerging regulatory issues that could impact the business.
- Oversee compliance with external and internal regulatory and legal requirements, policies, and bylaws.
- Act as a trusted resource for compliance education and training.
- Lead the institution's response to privacy breaches, investigations, and reporting requirements.
Risk Management:
Identify, assess, and develop strategies to manage potential legal risks, providing proactive guidance to prevent legal disputes.
Corporate Governance:
Support the board of directors and executive leadership in corporate governance practices, ensuring policies and decisions align with legal and ethical standards. Manage corporate records and new and existing legal entities.
Policy Development:
Work with leaders to develop and implement policies and procedures related to legal matters, ensuring clarity, compliance, and operational efficiency.
Litigation Management:
Oversee all litigation matters, working with external counsel when necessary, and oversee dispute resolution to protect the organization’s interests.
Mergers & Acquisitions Support:
Provide legal guidance on potential mergers, acquisitions, or other strategic partnerships to ensure due diligence and compliance.
Privacy Program:
Responsible for the Privacy Program including development, implementation, and maintenance of company policies and procedures.
Leadership:
- Build, mentor, and lead a high-performing legal team.
- Direct supervision of Associate General Counsel and paralegal.
- Other duties as assigned.

Salary Range
$240,000-$300,000
